Welcome to Apsisware, a software company based in Romania specialising in Artificial Intelligence (AI), Machine Learning (ML), and Generative AI (GenAI) services. By using Apsisware’s website, services, or software solutions, you agree to comply with and be bound by the following Terms and Conditions. Please read these terms carefully. If you do not agree with any part of these terms, you should not use our services or demos.

Acceptance of Terms

By accessing or using Apsisware’s website, services, or software, you acknowledge that you have read, understood, and agreed to these Terms and Conditions, as well as any applicable laws and regulations. Apsisware provides AI, ML, and GenAI solutions, which may include but are not limited to:

  • Custom AI/ML model development
  • Predictive analytics and data science solutions
  • Generative AI tools (such as content generation, image creation, etc.)
  • Software-as-a-Service (SaaS) and on-premise AI/ML solutions
  • Demos and proof-of-concept solutions available on the company website

All services provided by Apsisware are subject to these Terms and Conditions and may be governed by additional agreements depending on the specific service requested by the client.

Website Usage and Demo Solutions

Apsisware offers demo solutions on its website to showcase the capabilities of its AI/ML/GenAI technologies.

Demo Access 

Demos provided on the website are for informational purposes only and do not represent final or full implementations of any AI/ML/GenAI solutions. Apsisware retains the right to modify or remove demo solutions at any time without notice.

Limitations of Use

You agree not to use any demo solutions for illegal, harmful, or unethical purposes, including but not limited to:

  • Reverse engineering, decompiling, or extracting any part of the demo software.
  • Using demos for the development of competing products or solutions.
  • Using demos to generate harmful, misleading, or offensive content (especially in the context of GenAI tools).

No Warranty on Demos

Apsisware makes no guarantees regarding the accuracy, reliability, or suitability of the demo solutions for any purpose. Demos are provided “as is” and without any warranties, express or implied.

Client Responsibilities

Accurate Information

Clients must provide accurate, complete, and up-to-date information when engaging Apsisware’s services. Apsisware will not be responsible for any issues arising from inaccurate information provided by the client.

Data Ownership and Permissions

Clients must have the necessary rights and permissions to use and provide any data submitted to Apsisware for processing. Apsisware is not responsible for verifying the legal status of the data provided and assumes no liability for unauthorised use of third-party data.

Confidentiality and Data Security

Apsisware is committed to ensuring the confidentiality and security of client data. We use commercially reasonable efforts to protect the data submitted by clients. However, Apsisware is not liable for unauthorised access, breaches, or losses unless caused by our gross negligence.

Data Usage

Apsisware will only use client data for the purposes outlined in the specific service agreement. Data will not be shared with third parties without client consent, unless required by law.

Intellectual Property

Client Data 

The client retains ownership of all data provided to Apsisware for the purpose of AI/ML/GenAI services. Apsisware will not claim ownership of client data but may process, analyse, or transform it as part of delivering the contracted services.

Apsisware’s Intellectual Property

All AI/ML/GenAI models, algorithms, software, tools, and other proprietary technologies developed by Apsisware remain the exclusive property of Apsisware. No rights or licences are granted to the client except as explicitly set forth in the service agreement.

Licence to Use

Upon delivery of services, Apsisware grants the client a non-exclusive, non-transferable, and limited licence to use the deliverables, AI/ML models, or tools for their own business purposes as defined in the agreement.

Disclaimer of Warranties

Apsisware provides all services, software, and demo solutions on an “as is” and “as available” basis without any warranties of any kind. Apsisware disclaims all warranties, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

Apsisware does not guarantee the accuracy, reliability, or completeness of any results generated through its AI/ML/GenAI models or demo solutions.

Limitation of Liability

To the maximum extent permitted by law, Apsisware, its affiliates, directors, employees, or agents shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the use or inability to use its services or software, including but not limited to loss of revenue, profits, data, or business.

Termination of Services

Termination by Apsisware

Apsisware reserves the right to terminate or suspend services if the client breaches any of these Terms and Conditions, or fails to make timely payments.  

Indemnification

Clients agree to indemnify and hold Apsisware, its employees, directors, and agents harmless from any claims, liabilities, damages, and expenses (including legal fees) arising out of the client’s use of Apsisware’s services or breach of these Terms and Conditions.

Governing Law and Jurisdiction

These Terms and Conditions are governed by and construed in accordance with the laws of Romania. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts located in Romania.

Entire Agreement

These Terms and Conditions, together with any service-specific agreements, constitute the entire agreement between the client and Apsisware. Any amendments or modifications to these terms must be in writing and agreed upon by both parties.
